Draft — have a lawyer review before launch. This text is a working draft and is not yet the binding version.
These Terms of Use ("Terms") govern your use of LevelRated.com, AVCleared.com and related services (the "Platform"), operated by VisualSphere Solutions, LLC ("we", "us"). AVCleared is a brand of the same Platform. By creating an account or using the Platform you agree to these Terms. Companies that subscribe are also bound by the Company Subscription Agreement; contractors by the Contractor Terms; auditors by the Auditor Agreement.
1. What the Platform does
The Platform lets companies search, compare, monitor and hire contractors, and lets contractors maintain a verified profile. We verify documents and public records as of the date shown on each record, calculate a Trust Score using our published methodology, and publish reviews from verified engagements.
2. Accounts
- You must give accurate information and keep it current.
- One person, one login. Don't share credentials. You're responsible for activity under your account.
- One identity works on LevelRated and AVCleared; signing out of either signs you out of both.
- You must be at least 18 and able to bind the organization you act for.
3. The integrity rule
Hiring companies are our paying customers; contractors list and get verified for free. No paid product or service changes a Trust Score, search ranking, review visibility or badge. Paid services change only the speed of a service and who performs the work. We do not sell sponsored or featured placement, leads or rank to contractors, and we do not remove, hide or demote reviews in exchange for payment. On-site audits are pass or fail against published criteria and count the same whoever paid for them.
4. Reviews and content you post
If you write a review, you agree that it:
- describes your own first-hand experience with the engagement it's attached to;
- is truthful and not misleading, and states facts as facts and opinions as opinions;
- is not written by, for, or in coordination with the contractor, a competitor, or anyone with an undisclosed conflict of interest;
- was not offered or given in exchange for compensation, discounts or other incentives conditioned on its sentiment;
- contains no personal data about individuals beyond what's needed, and no threats, harassment or confidential information.
These obligations reflect the U.S. Federal Trade Commission's rule on consumer reviews and testimonials (16 CFR Part 465). See the Review & content policy for moderation and disputes.
You keep ownership of content you post. You grant us a worldwide, non-exclusive, royalty-free license to host, display, reproduce and distribute it on and in connection with the Platform, including after your account closes where the content forms part of a verification record or a published review.
5. Prohibited use
You may not: scrape, crawl or bulk-export directory data except through features we provide; upload forged, altered or someone else's documents; impersonate anyone; probe or bypass security or rate limits; use the Platform to discriminate unlawfully; or use contractor data to make decisions about individuals that require a consumer report under the Fair Credit Reporting Act. The Platform is not a consumer reporting agency.
6. Disclaimers
- Verification reflects documents and public records as of a date. Records change, sources can be wrong or unavailable, and documents can be falsified. When a source is unavailable we say so rather than guess.
- We do not guarantee the quality, safety, legality or outcome of any contractor's work. Hiring decisions, contract terms, site safety and supervision remain the hiring company's responsibility.
- A Trust Score, grade, badge or Fit Status is an informational opinion based on our methodology. It is not a warranty, certification of fitness, or professional, legal or insurance advice.
- The Platform is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
7. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data. Our total liability for any claim relating to the Platform is limited to the greater of the fees you paid us in the 12 months before the claim or $100. Some jurisdictions don't allow these limits, so they may not apply to you.
8. Disputes about your data
You can see the inputs behind your profile and score, report data errors, and dispute reviews as described on the Verification Standards page. We review every report in good faith and correct records that are wrong.
9. Suspension and termination
We may suspend or close accounts that breach these Terms, present fraudulent documents, or put others at risk. You may close your account at any time. Verification records and audit logs needed for legal defense are retained as described in the Privacy Policy.
10. Changes
We'll give at least 30 days' notice of material changes by email or in the app. Continued use after the effective date means you accept the change.
11. Governing law
These Terms are governed by the laws of Wisconsin, without regard to conflict-of-laws rules. Courts in St. Croix County, Wisconsin have exclusive jurisdiction, except that either party may seek injunctive relief anywhere.
