Auditor Agreement

Terms for independent auditors performing Level 4 on-site audits: independence, conduct, evidence standards and confidentiality.

Last updated October 12, 2026.

Draft — have a lawyer review before launch. This text is a working draft and is not yet the binding version.

This Auditor Agreement is between VisualSphere Solutions, LLC ("we") and the individual or firm performing on-site audits ("Auditor"). It incorporates the Terms of Use.

1. Engagement

Auditor is an independent contractor, not an employee. We offer audits based on region, trade and stated capacity; Auditor may decline any assignment. Fees per audit and expense rules are set in Auditor's rate schedule.

2. Independence and conflicts

Auditor must decline any audit where Auditor (or a close relative) has worked for, owned part of, competed with, or received anything of value from the contractor or the requesting company in the last 24 months, and must disclose any other relationship that could appear to affect judgment. Auditor may not sell services to an audited contractor for 12 months after the audit.

3. Conduct on site

  • Follow the host site's safety rules and wear required PPE.
  • Observe live work; don't direct it.
  • Interview at least three workers privately, without managers present, and record answers by role only, never by name.
  • Don't photograph people's faces where avoidable, screens with personal data, or areas the site prohibits.

4. Evidence standards

  • Use the standard checklist in the auditor portal. Answer every item pass, fail or not applicable, with notes for every fail.
  • Photos must be taken on site during the visit, with device location enabled where permitted, and must not be edited.
  • Report what was observed on the visit date. Don't infer findings from documents alone.

5. Quality review

Our QA team reviews every report and may return it for correction. Auditor will respond within 3 business days. We may observe or re-audit a sample of audits.

6. Confidentiality and data

Everything Auditor sees or receives is confidential and may be used only to perform the audit. Auditor must store nothing outside the portal, delete local copies after submission, and report any loss of data within 24 hours.

7. Insurance and credentials

Auditor will maintain professional liability and general liability insurance at the limits in the rate schedule and keep relevant credentials (for example OSHA 30 and trade-relevant certifications) current, and will provide evidence on request.

8. Integrity

Auditor may not accept gifts, payments or favors from audited contractors or requesting companies. Scores must reflect observations only. Breach of this section ends the agreement immediately and may void the affected audits.

9. Term

Either party may end this agreement with 30 days' notice; we may end it immediately for breach of sections 2, 6 or 8. Completed reports remain our property.
